The firm

The legal function behind your operation in both countries.

Vitor Henrique Silva

Lawyer

OAB/SP 483.856 · OAP 68.616L

We advise companies, investors and individuals operating between Brazil and Portugal, bringing corporate, contract, employment, real estate, banking and private international law under a single technical direction.

Working across two countries is not a matter of adding up two law firms. It means anticipating how a decision taken in São Paulo plays out in Lisbon: which law governs the contract, which court has jurisdiction, which ancillary obligation will be required months later. That coordination is what prevents duplicated work and lost time.

We act both under an ongoing counsel arrangement, as the company’s external legal department, and on discrete matters of greater complexity. In either case the client speaks to the lawyer responsible, with a frank assessment of viability, stages and timelines before the work begins.

For companies

Three ways to keep legal counsel close to the business.

Companies with recurring activity need continuous support; structural transactions call for a dedicated project. The format is set according to need, and the two can be combined.

  • Recurring

    Ongoing counsel

The firm acts as an external legal department, following the company’s routine and anticipating risks before they turn into disputes.

    • A standing channel for day to day questions
    • Continuous review of the contract flow
    • Support for resolutions and corporate filings
    • Alignment with the LGPD and the GDPR
  • By project

    Transactions and expansion

Structuring the decisions that change the company’s scale: entering a new market, corporate restructuring, admitting an investor.

    • Incorporating a company abroad
    • Corporate restructuring and admission of investors
    • Structural contracts and cross-border transactions
    • Due diligence and risk analysis
  • Litigation

    Disputes and arbitration

Defending the company’s interests once negotiation is exhausted, with a prior assessment of risks and stages set out in writing.

    • Shareholder and contractual disputes
    • Employment and consumer litigation
    • Debt recovery and enforcement
    • Arbitral proceedings

For individuals

Also alongside those who are not a company.

Anyone who bought a defective product, worked without a registered contract, needs to divorce, inherited a property or was charged improperly finds here the same technical direction devoted to the corporate practice areas.

Living outside Brazil? Divorces, probate and other Brazilian procedures are conducted under a power of attorney. Most acts do not require your presence in the country.

What sets us apart

What changes when counsel follows the operation

It is not a question of geographical reach, but of technical coordination and of being close to the decision. These are the commitments behind every engagement.

  • Two jurisdictions, one point of contact

Admitted to practise in Brazil and in Portugal. The client does not manage separate lawyers, parallel deadlines and information scattered across two legal systems.

  • External legal department

An ongoing counsel model for companies with recurring demand: day to day questions, continuous contract review and support for management decisions.

  • Prevention before litigation

Well drafted contracts and sound corporate structures avoid disputes that consume management time. We prioritise the legal architecture that prevents conflict.

  • Direct line to the decision

The person responsible for the strategy is the one who speaks to the client. No triage layers, and no delegation of what is sensitive.

  • An opinion before the transaction

We assess viability, stages and timelines frankly before starting. Where the intended route does not hold up, we say so plainly.

  • Answers at the pace of business

Response times agreed from the outset and an update on every material development, in language clear enough to support a decision.

Complete coverage in both jurisdictions

Twelve practice areas that speak to one another, because a corporate reorganisation usually touches contracts, staff and assets, just as a cross-border divorce touches succession, property and civil registries.

How we run matters remotely

Most acts do not require the client to be present. We act under a power of attorney, with stages defined from the first contact.

An initial meeting to understand the objective, map the documents and identify risks not yet apparent.

  2. Strategy

Definition of the legal path in each jurisdiction, with stages, deadlines and alternatives set out in writing.

  3. Execution

The matter is handled under a power of attorney, without requiring the client to be physically present for most acts.

A report on every material development and guidance on the obligations that follow completion.

All information shared with the firm is protected by professional privilege and handled in accordance with the LGPD and the GDPR.
